Bravo Väino !
stop playing politics18 Apr 2018 09:14
I would like the Estonian House board to stop playing politics and let Väino Keelmann and Ingrid Tanner in as board members with equal standing. As I understand, they have not been let near a single board meeting.

Please give Ingrid a chance to generate money for EH, as she has offered to do this with getting in people to rent halls.

Enough with making the present EH look like a ghost town ... we get it, you want community members to fall out of love with the old building. But it is not practical, you are loosing money by not taking Ingrid Tanner up on her offer to market the old house properly to potential hall renters.

"EWR contacted the Toronto Estonian House board for comment and received the following reply.

The invitation to join the board was issued to Väino Keelmann on January 25, 2018. Since Väino Keelmann’s candidacy to the Board occurred almost 9 months prior to this invitation it is proper protocol to offer him the position and to request that he sign a standard Consent to Serve form to indicate that he was still agreeable to serving. A Consent to Serve form and a copy of our Conflict of Interest Policy were included with the invitation so that he would be fully aware of the commitment he would be making. His response was to request legal advice. It would be inappropriate and irresponsible for the Board of the Estonian House in Toronto to provide legal advice which he should seek from his own lawyer. As a professional businessman this would be something he should clearly be aware of. At no time did Väino sign a Consent to Serve form and as such it was our conclusion that he had either decided to not join the board or was still in the process of deciding. We are disappointed that Väino Keelmann has not communicated a clear decision to the Estonian House Board.

Raivo Remmel
Chairman of the Estonian House Board

This article was updated 11am to add Mr. Keelmann's announcement of his candidacy."

What looks to have been lost in all this is that Ingrid Tanner was invited to join the board, but her acceptance seems to have been conveniently ignored.
What excuse does the board have in this situation?

Board members are elected from the pool of shareholders, by shareholders.
Raivo Remmel can't block anyone.
Legal Advice18 Apr 2018 11:06
It sounds as though Vaino was offered the position in a timely fashion and was provided the necessary documentation required to join the board.

The ball was clearly in Vaino's court to get any legal advice he needed and the documentation returned so he could have started participation immediately.

This is not on the EH board in my opinion. I see no reason to blame them here.

Yeah I'm not a big fan of the board but unless I'm missing something here, this is not on them as I fail to see how it's their place to provide the legal advice that Mr. Keelmann asked for.

I categorically did not request legal advice from the Eesti Maja Board in my response email to Raivo Remmel. Legal advice given to me was not to sign their excessive "Conflict of Interest Document", something already covered under Corporate Law and I asked Raivo to justify the "Document". I also asked if the Eesti Maja Board had a "Non-Disclosure Agreement". Furthermore I asked for status on meeting benchmarks of past decisions as well as due diligence on pending transactions because I do not want to be held accountable for past decisions not of my making. I had requested that EWR publish Raivo's invitation with attachments together with my response email to avoid this confusion but only my latest brief "Open Letter"was published.

The attachments Väino is talking about are available right after his letter and before Raivo's response.
EH Board19 Apr 2018 11:30
Some people do not see it , or do not want to see it , but the EH Board knows how to spin everything and make it look like they are doing everything right , and make it look like anyone with differing views is doing everything wrong . Vaino, if you can believe it , they actually put Ingrid Tanner' s name up on the screen , with the other present board members as if she had been part of the EH Board when she was not ever invited to a single board meeting . Deception is their middle name.
