It is clear the Estonian House Board is attempting to limit public discourse and trying to ensure a more favourable outcome in any vote taken at meetings. This new condition regarding proxies alluded to in Allan Meiusi's article is only the latest example of attempting to limit participation at shareholder meetings. I would think for most shareholders this attitude by the Estonian House Board became apparent during the Special Shareholders meeting of Feb. 12, 2018 when Raivo Remmel on the advice of his lawyer John R. Kennedy crassly refused shareholders representing ten plus percent of the shares of Estonian House to put a resolution on the floor of the meeting for a vote. This after several hours were spent registering shares at the door for a vote.

Now Remmel is stepping down to become Vice Chairman and serve out Veiko Parming's term at that position. Parming is nominated by the Board to serve as Chairman of the Estonian House. Parming in public statements regarding the projected new Estonian Centre is as inflexible as his predecessor. He has stated that he is not ready to support or allow actions which attempt in an undefined way to subvert the will of the shareholders' decision to go forward with the Estonian Centre project which has consumed community time energy and money.

This vote that Parming refers to was won by less than 10 votes after well more than a thousand votes were cast and no recount was allowed. The new Estonian Centre is facing delays, the sale of the Estonian House will not net the $18 million figure bandied about thus increasing the financial shortfall for the new Centre. I wonder if Veiko Parming has a plan "B" if all the pieces don't fall into place soon.

Also quite disturbing is the fact that 2 Estonian House Board members recently resigned. Both were highly regarded in the community and both cited in their reasons for resigning "issues of corporate governance." It is interesting to note that those vacancies on the Board were not filled in a timely manner.

Allan Meiusi knows, of course, that "community members" don't have voting rights.
Rather, "shareholders" that have bought into that right with their hard earned money.
Again, Meiusi has composed a scare story alluding to malfeasance.
If any exists, in this instance, it's surely trivial, as very few are impacted and, surely, not enough to change a vote.

The issue is that previously one could authorize ANY shareholder in an organization to vote on your behalf. Now the condition is that it has to be a member of the executive.

The vote that you are referring, required 2/3 of the vote to support the proposal.

From what I recall, the vote was IN FAVOR 2/3 + 10 votes.

Is that NOT enough of a "majority"?

Please explain what the error is.

If there is going to be transparency and honesty, how each organization's block votes were cast needs to be revealed.

I am not sure but I don't think anyone or organization in a democracy is required to disclose how they voted, so following that train of thought there would no violation of transparency or honesty

about the vote... there was a request to do a recount. Seems the Board agreed at first... then changed their mind. I heard that the proxies had be distroyed.

With a small margin of 10 votes... there really should have been a recount. This is a HUGE decision to sell the Estonian House... why did they (the board) refuse. Perhaps they knew the recount would change the numbers. If they wanted transparency... then the recount should have happened.

Funny how the attacks get personal from the Madison side when they do not have a reasonable answer ....oh I forgot - the attacks get personal from Madisonites regardless. Allan Meiusi is a well- respected and fair journalist who always backs up what is written with facts and documents.

Things should be re-directed back to what those EH share$ mean. Let’s face it, those ‘votes’, 2/3rds or not, more registrations, proxies . . . whatever you want to call the process (all rather Orwellian in retrospect, ‘double speak’ comes to mind) is mired in hoodwinking legaleze. I know a few lawyers who could straighten this out for us shareholders, and yes, they are Jews! And while we are talking about the City of Toronto- some members our community are under the delusion that we Estonians-of-Toronto OWE the city something, that is just plain misconstrued and so annoying. Estonians helped BUILD Toronto into a destination megalopolis. The ‘big guns’, Varamäe Construction, Lohuaru, yes Tampold, Roonem, Amjärve (sp?) . . . to name a few they and other immigrant tribes. Time to re-vote, ALL IN, that’s right, everyone on record, (and serve PIZZA to EVERYONE in the hall, didn’t you see ‘Shindler’s List?’) once and for all- what are you afraid of if right is might? And stop all these covert activities... passing out eviction notices, turning of the boiler, carrying out the piano . . . stuff like that.

Yes, I witnessed the same at Joekaaru with Estonian Summer Homes Association Board. The very last thing on their mind was to encourage inclusiveness and welcome participation. In fact, the very opposite was true. Estonians within the community there, suffered a great loss as a result.

There has been an element of clique-iness with the JK crowd for decades, I don't know if it has now changed. Just saying that inclusiveness goes a long way to keeping the community strong. Actions that seem to be anti-establishment may have its root in social exclusion. I tend to stay in the periphery because of excluding clique behavior experienced firsthand. Invites to reunions bring back memories of the cliques and results in mixed emotions.
